Key Steps for NGO Formation

Define Vision & Goals:

Clearly outline your NGO's mission, objectives, and target beneficiaries.

Assemble Core Team:

Gather passionate individuals for your founding members/trustees/directors.

Choose Legal Structure:

Decide if you'll be a:

Trust: Under the Indian Trusts Act, 1882.

Society: Under the Societies Registration Act, 1860.

Section 8 Company: Under the Companies Act, 2013 (for non-profits).

Prepare Documents:

Draft the Memorandum of Association (MoA) and Articles of Association (AoA) or Trust Deed, detailing your aims, rules, and regulations.

Gather Required Proofs:

Identity & Address Proofs (Aadhar, PAN, Passport, Utility Bills) for members/trustees/directors.

No Objection Certificate (NOC) for the registered office address.

Passport-sized photos.

Register:

Submit documents to the respective Registrar (Societies, Trusts) or the Registrar of Companies (ROC) for Section 8.

Get PAN & Bank Account:

Obtain a Permanent Account Number (PAN) for the NGO and open a bank account.

Apply for Tax Exemptions (Optional but Recommended):

Secure 12A and 80G registrations for income tax exemption and donor benefits.

Common Requirements by Structure

Trust:

Requires a Trust Deed, minimum two trustees, and registration with the Registrar of Trusts.

Society:

Needs MoA, bylaws, and a minimum of 7-9 members (depending on state), registered with the Registrar of Societies.

Section 8 Company:

Requires Digital Signature Certificate (DSC), Director Identification Number (DIN), and filing with ROC; more stringent governance.
